1、留意:当事人一方是否具备签订合同的主体资历,当事人的营业执照是否过期,是否做年审,是否被撤消等,不认真进展审查就匆忙与其签合同,容易造成所签合同没有法律效力或者在发生纠纷时难以追求当事人责任。二、标的加工承揽合同的标的是特定的劳动成果,具有特定性,当事人在订立加工承揽合同时应当详细精确地写明定作物的名称或工程,不能模糊使人产生歧义(比方加工原料为10吨玉米粒,就不能写成10吨玉米)。应留意加工物是否是合法物,审查加工物是否是法律禁止物,是否需经有关部门批准才同意加工,防止出现不必要的法律责任。特定的劳动成果=工作成果必须是承揽人本人通过工作完成的,而不能是其别人的工作成果。特定性=承揽人只能以
2、本人的设备、技术,更主要的是本人的工作,对特定的材料进展加工。三、原材料的供给和使用1、订立加工承揽合同时应规定原材料的质量标准,承揽人须按合同规定选用原材料,并接受检验,承揽人隐瞒原材料缺陷或者使用不符合合同规定原材料而妨碍定作物质量时,定作人有权要求重作、修理、减少价款或解除加工承揽合同。2、订立加工承揽合同时应规定原材料交付的时间、数量、质量、交接地点、方式等,承揽人对原材料应及时检验,不符合要求的应立即通知定作人更换或补齐。承揽人不得擅自更换原材料,不得偷换修理物品的零件。同时还应对原材料耗费定额,以及超出定额部分材料费用的承担作出商定,以明确责任,防止履行加工承揽合同过程中出现纠纷。
3、原材料耗费定额=对成品大概需要多少原材料作一个大概可能四、定作物的质量要求及(或)技术标准1、订立加工承揽合同时,对定作物的质量的规定应当明确详细,不能简单或者模棱两可。当事人对质量商定不明的补救措施,应按照国家标准、行业标准履行;没有国家标准、行业标准的,按照通常标准或符合加工承揽合同目的的特定标准履行。2、质量是以样品为准,除了双方封存样品外,还应有样质量量描绘的书面材料。以免样品灭失或自然毁损或对样品内部质量有异议而发生纠纷。五、定作人提供技术材料、图纸的方法对材料和图纸的名称、数量和编号都要注明并要经双方签字盖章进展确认。六、成果验收承揽方在工作期间,应当接受定作方必要的检查,但定作方
4、不得因而阻碍承揽方的正常工作。双方对定作物和工程的质量在检验中发生争议时,可由法定质量监视检验机构提供检验证明。定作方应当按合同规定的期限验收承揽方所完成的工作.验收前承揽方应当向定作方提交必需的技术材料和有关质量证明。短期难以发觉质量缺陷的,可由双方协商在合同中规定保证期限,期限内除定作方使用、保管不当等缘故此造成质量咨询题的以外,由承揽方负责修复或退换。七、验收标准、方法及提出异议的期限有标准的按标准,没有标准的按双方商定的要求检验。关于检验的方式、方法和期限双方认为有必要时协商,最好注明提出异议的期限,对任何期限的商定都一定要注明期限终止的时间点。没有注明的话,以后假如双方要打官司,时效
5、非常难确定。八、留置条件揽人提交必要的技术材料及有关质量证明的名称和数量、有关说明书、装箱单、安装图纸、化验单、检验合格证等内容,加工承揽合同定作人末付清价款可作为留置条件。合同法规定,定作人未向承揽人支付酬劳或者材料费等价款的,承揽人对完成的工作成果享有留置权。(这个规定是为了保证定作人无法付款时,承揽人不用白白损失)承揽人享有的留置权是法定担保物权,无须加工承揽合同商定。承揽人在依法留置定作物后,应当通知定作人在一定期限内履行相应的义务,订立加工承揽合同时能够对该期限进展商定。合同法规定的期限应不少于2个月。承揽人只有在规定的期限届满时,才能处分定作物。承揽人通过折价的方式处分定作物应与定
6、作人协商,通过拍卖、变卖方式处分定作物,应将有关情况及时通知定作人。承揽人在留置定作物期间,能够收取定作物孳息,享有必要的使用权,将酬劳恳求权转让时,留置权也可一同转让。留置权作为为承揽人设立的权利,当事人能够商定选择放弃。九、提取(交付)定作物的方式及费用负担交付方式一般是通过自提或送货途径。涉及运输的方式和费用负担双方协商商定。留意:承揽不是买卖,不得出现“带款提货”、“货到付款”的字样。假如这么写, 要是承揽方向您要货款,您如何解释?十、交付定金的时间、数额及适用定金罚那么的条件加工承揽合同中一般商定定金,数额为总价款的20%,适用定金罚那么的条件一般为“一方不履行合同或单方解除合同”。
7、为什么要适用定金罚那么呢?由于定作人有任意解除加工承揽合同的权利,一旦中途解除加工承揽合同,承揽人的损失将无法及时有效地得到赔偿。十一、余款的支付及支付期限加工承揽合同一般不能商定分期付款,不管谁提供原材料,在加工过程中都转化为定作物,而定作物的所有权在加工完成时就属于定作人所有,承揽人只享有留置权,一旦交付,留置权消灭,分期付款对承揽人十分不利。十二、违约责任及违约金数额或计算方法如有商定要分别注明违约事项所适用的违约金数额或计算方法。加工承揽合同条例对违约责任、违约金结付定出了比例幅度;加工承揽合同当事人应留意确定违约金的详细百分数。留意:不要出现“按经济合同法”、这是违法无效的商定,不要
8、出现“按合同法”、这是无意义的商定,由于有专门的加工承揽合同条例。十三、保密条款承揽人在订立和履行加工承揽合同过程中知悉定作人的商业机密或技术机密,如:设计图纸、技术材料、专利成果甚至是定作人要求保密的姓名、名称、住所等,假如承担人泄漏或不正当使用该机密的,将会给定作人的利益带来损害。因而,在签订加工承揽合同时,定作人应明确商定承揽人保密的内容和期限,保密的期限能够不限于加工承揽合同的履行期限,并应详细商定如承揽人违背保密的义务所应承担的赔偿责任。十四、其它商定的事项1、承揽方应在订立加工承揽合同时合理的预见“定作方依法随时解除加工承揽合同”、“中途变更承揽要求”所带来的损失及评估,在此根底上
9、合理安排人力及设备组织加工。2、定作人的协助义务定作人有依照加工承揽合同提供材料、设计图纸、技术要求、样品的义务,如出现相关材料存在瑕疵的,定作人还应及时更换、补齐。定作人不履行协助义务的,能够在合同商定的期限内催促其履行,假如定作人仍不履行的,承揽人有权解除加工承揽合同。加工承揽合同定作方应对本人提供给承揽方的图纸或技术方案予以认真审议。但加工承揽合同承揽方对图纸及技术方案提出异议时,要及时核实情况、组织论证、完善方案,切不可拖延推诿,由此将会承担承揽方产生的窝工、设备租赁、消费线闲置等相关损失。3、在履行加工承揽合同过程中,承揽人发觉定作人提供的材料或图纸、技术要求等不符合加工承揽合同商定
10、要求的,应及时通知定作人进展更换、补齐或采取其他的补救措施,如承揽人不及时通知或定作人怠于答复那么有可能导致加工承揽合同不能按时履行或造成对方损失的。留意:在加工承揽合同中,应当明确,如出现上述咨询题,加工承揽合同一方应当在几天内,通过什么方式通告对方,只要守约方在加工承揽合同商定的时间内履行了通知的义务,那么可防止相关的法律风险。4、作为承揽人,如考虑到本身在加工承揽合同期限内有可能不能按时完成承揽工作,而必须与第三人合作才能按时交付工作成果时,那么能够在签订加工承揽合同时与定作人进展协商,商定可将主要工作交由第三人完成,如此关于促成加工承揽合同的签订以及保障加工承揽合同的顺利履行将起着积极
